1.1. Background
1.1.1. RudrabizZ Pvt. Ltd. (together with its group companies, the “Company” or “RudrabizZ”) encourages its employees, consultants, suppliers, service providers, users, and anyone associated with RudrabizZ, who have reasonable suspicions of misconduct, to report such concerns without fear of punishment. This Whistleblower Policy (“Policy”) has been created to provide a secure framework for any employee, consultant, or contractor (“Individual(s)”) to share observations, concerns, or objections regarding unacceptable behavior or malpractice that may adversely affect the rights of Individuals or harm the Company’s image and reputation.
1.2. Policy Objectives
1.2.1. The objective of this Policy is to provide a clear channel for Individuals to report to the management any concerns related to:
(i) Breach of the Company’s Code of Conduct;
(ii) Breach of integrity and ethics;
(iii) Breach of terms and conditions of employment or associated agreements;
(iv) Financial irregularities, including fraud or suspected fraud;
(v) Violation of laws/regulations;
(vi) Willful negligence causing risk to health, safety, or the environment;
(vii) Manipulation of Company records or data;
(viii) Leakage of confidential or proprietary information;
(ix) Misappropriation or wastage of Company funds/assets;
(x) Any act affecting the performance or engagement of an Individual;
(xi) Any act of physical assault or threat at the workplace;
(xii) Psychological harassment, intimidation, or verbal abuse;
(xiii) Any grievance that cannot be raised through regular channels and needs independent assessment.
1.2.2. This Policy cannot be used for malicious or unfounded allegations. Individuals are expected to act in good faith.
1.3. Scope of the Policy
1.3.1. This Policy applies to all violations of applicable laws, misuse of authority, breach of contract, fraud, manipulation of financial or Company data, misappropriation of RudrabizZ’s assets, or any activity that impacts the interests of the Company or its stakeholders.
1.4. Definitions
- “Code of Conduct”: The Company’s applicable code of conduct.
- “Complaint”: A concern raised in good faith, in writing, that discloses information about unethical or improper activity.
- “Individuals”: All employees, consultants, contractors, and associated parties of RudrabizZ.
- “Investigating Officer”: An officer appointed by the management to assist in investigation.
- “Management”: Management of RudrabizZ Pvt. Ltd.
- “Whistleblower”: An Individual or group of Individuals making a Complaint under this Policy.
- “Whistleblower Committee”: The committee set up by the Company to investigate Complaints.
1.5. Receipt and Disposal of Complaints
1.5.1. Complaints should be reported in writing, duly signed, and made at the earliest possible time after the incident occurs.
1.5.2. Complaints must be factual and as detailed as possible. Anonymous or pseudonymous Complaints will not be entertained.

1.6. Investigation
- All Complaints will be recorded and thoroughly investigated by the Whistleblower Committee.
- Investigations may involve document review and interviews. Individuals must cooperate fully.
- The investigation report will typically be submitted to Management within 30 days of receiving the Complaint.
1.7. Decision and Reporting
- The Whistleblower Committee will report findings to Management with recommendations.
- Disciplinary action will be taken if a prima facie case is found.
- False or malicious Complaints will invite disciplinary action.
1.8. Confidentiality
- All parties involved shall maintain utmost confidentiality.
- Documents and emails must be securely stored and password protected.
1.9. Misuse of the Program
- This channel is for serious concerns only, not for personal grievances or business-as-usual issues.
1.10. Protection
- RudrabizZ prohibits retaliation against Whistleblowers.
- Whistleblowers’ identity will be kept confidential as much as possible.
- Anyone assisting in an investigation will also be protected.
1.11. Communication
This Policy shall be published on the official website of RudrabizZ.
1.12. Retention of Documents
All Complaints and investigation records shall be retained for at least 5 years or as per applicable law.

The Whistleblower Committee shall administer, interpret, and review this Policy and may amend it with Management approval.
